Board looks fine, though I'd think about getting a lower power CPU (cheapest 775 chip should do you fine if the rig is ONLY going to be a file server)

I have one of these(intel server chassis sc5200) going spare in my store cupboard if you would like it free of charge it'll hold all the drives you need and has four cooling fans in plus a hefty 550w psu.
