We have an old server Xeon F4A, pretty sure its this one:

 

ARK | 64-bit Intel® Xeon® Processor 3.00E GHz, 2M Cache, 800 MHz FSB

 

currently running 2008 server I wanted to upgrade it to 2012r2 but can't get it to boot, stops with a 0x00000C4 error on boot

 

I have done some searching and appears and found this:

 

"For 64-bit installations of Windows 8.1 Preview, your CPU must also support CMPXCHG16b, PrefetchW and LAHF/SAHF."

 

 

Which it appears may also be same requirement for 2012r2 and our old Xeon doesn't support. Anyone run into a similar problem? have any fixes? or can confirm no chance to run 2012r2 on that box.

These are instruction sets for the CPU so the only fix is a new cpu that supports the instruction set. If your CPU is that old then I think its time for some new hardware.

I've tried putting 2012 R2 on a few old servers to test. The Netburst Xeon powered ones would not work at all, supporting your findings, for the reasons you posted. Slightly later ones with Core 2 architecture worked. You'll have to give it up as a bad job. ICT Direct can get you some cheap servers if you need them, that will run it.
