HP DX2450 keeps stalling closing down

We have one HP dx2450 running XP Pro that persistently fails to cleanly close down. Mainly it's if the machine is left on, despite having standby turned off it attempts to go into stand by then comes up with a message "preparing to standby".

 

I'm thinking of doing an upgrade or fresh install to Windows 7 - or is this a known problem with this machine? BIOSD etc up to date.
