    Hi yes, it is a very simple upgrade and just for extra measure make sure you copy the Catalog and Data folders to a different location.

    mrbios, don't jump the ship yet. It looks like some of the issues you are facing are compatibility issues. VMware ESXi5.1 isn't currently supported but will be in the next release . Help is imminent. Participate in the Beta program for Backup Exec 2012 R2 here.
