ESS is backed by effectively bottomless pockets with a vested interest in seeing a return on their investment https://montagu.com/#hub Bromcom used to harry Capita all the time, but against international PE they are being more careful, that said I think The Key might be 51-74% owned by CBPE so ::shrug::

Let us not forget that its a £100M+ per annum market, and with only three (soon to be two?) viable players, burning the occasional 1M to ensure they get their 33M-50M revenue, unfortunately is likely a necessary expense. Historically they have only launched action where they are at least partially justified (as born out by results so far). I know when I went looking, it was clear that Private Equity firms were backing both of their competitors, while Bromcom appeared to only invest from revenue derived capital. - but I am not an accountant/company secretary/legal so maybe I've missed some nuances (or even something obvious). Pure speculation now: So perhaps that ownership dance back in 2020(ish) is the cause/was caused by one of those blips in accounts that result in an organisation ceasing to be solvent, but, as long as nobody notices, the moment of crisis passes and everyone just carries on. ...until it does matter to somebody that they weren't technically solvent in that moment (i.e. they were in a bid that required them to be, and they subsequently won it.) 1
