I can only say about VMWare, having used that. Only if you want to use the management console. However you can use the console remotely from another machine and/or use the web interface.
Xen seems to run Windows from the terminal just fine (I can RDP into the running Windows VM without having anything to do with X on the server), but I did need a machine running X to start the Windows VM in the first place as I wasn't quite sure what I was doing the first time and wanted to make sure I could interact with Windows if I needed to.
