I've just installed W2k8 x64 on a HP Prolient DL140 G3. It hangs on reboot and on shutdown of windows. I have updated the bios and also all the drivers I can from the HP support site.
The only 'extra' thing in the system is a Storageworks E500 Smartarray card.
Any suggestions?
Anything in the event log?
Does it hang on boot? or only reboot? can you start safe mode and see what it has trouble loading?
One thing that popped up in various searches was disabling onboard raid. Quite a few complaints about that HW.

It boots up fine. It only hangs on shutdown or reboot. There is nothing in the event log to tell me whats going wrong.
I also tried removing the E500 card. That didn't help.

A bios reset seems to of done the trick.
